By accessing and using IntelliAgent (“Service”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service. We reserve the right to make changes to our Terms of Service at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms of Service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on IntelliAgent for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modifying or copying the materials
• Using the materials for any commercial purpose or for any public display (commercial or non-commercial)
• Attempting to decompile or reverse engineer any software contained on the Service
• Transferring the materials to another person or “mirroring” the materials on any other server

The materials on IntelliAgent are provided on an 'as is' basis. IntelliAgent makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4. Limitations of Liability

In no event shall IntelliAgent or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on IntelliAgent, even if we or our authorized representative has been notified orally or in writing of the possibility of such damage.

5. Accuracy of Materials

The materials appearing on IntelliAgent could include technical, typographical, or photographic errors. IntelliAgent does not warrant that any of the materials on the Service are accurate, complete, or current. IntelliAgent may make changes to the materials contained on the Service at any time without notice.

6. User Responsibilities

You agree that you:

• Will not use the Service for any illegal or unauthorized purpose
• Will comply with all laws, rules, and regulations applicable to your use of the Service
• Will not transmit any malicious code or attempt to gain unauthorized access
• Will not engage in harassment, abuse, or any other conduct harmful to other users
• Will not upload or transmit viruses or any other malicious code
• Will not attempt to gain unauthorized access to the Service or its related systems
• Will not exceed reasonable request rates or impair the Service
• Agree to comply with all Meta Platform policies when connecting Instagram, Facebook, Messenger, and WhatsApp accounts

7. Account Registration and Credentials

To use certain features of our Service, you must register for an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain the confidentiality of your password and account credentials
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized access to your account
• Keep your account information up to date

8. Connected Accounts and Data

When you connect your Instagram, Facebook, WhatsApp, or email accounts to IntelliAgent:

• You are responsible for maintaining the security of those accounts
• You grant us permission to access, retrieve, and process messages and data from those accounts as described in our Privacy Policy
• You acknowledge that you have the authority to grant such permissions
• You understand that disconnecting an account will stop data flow for that channel
• You are responsible for complying with the terms of service of connected platforms

All data from connected accounts remains your exclusive property and responsibility.

9. AI-Generated Content and Suggestions

Our Service may provide AI-generated response suggestions for customer messages. You acknowledge that:

• AI suggestions are provided for reference only and may contain inaccuracies
• You are solely responsible for reviewing and approving all messages before they are sent
• You maintain full responsibility for the content of all messages sent, whether AI-generated or manually written
• All messages sent through the Service must comply with applicable laws and platform policies
• IntelliAgent is not responsible for any consequences resulting from messages you send

No messages are sent automatically without your explicit approval.

10. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by IntelliAgent, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws.

11. Payment Terms

If you subscribe to a paid plan:

• You agree to pay the subscription fees as outlined in your chosen plan
• Billing will occur automatically on your renewal date
• You can cancel your subscription at any time
• Refunds are subject to our refund policy
• We reserve the right to change pricing with 30 days' notice

12. Cancellation and Termination

You may cancel your account and terminate these Terms at any time by contacting us. Upon termination:

• Your account will be deactivated
• You will lose access to the Service
• Your data will be handled in accordance with our Privacy Policy
• You remain liable for any charges incurred prior to termination

13. Service Availability

While we strive to maintain continuous operation of the Service, we do not guarantee that the Service will be available at all times. We may perform maintenance, updates, or other modifications that may temporarily interrupt the Service. We will not be liable for any unavailability or interruption of the Service.

14. Governing Law
